1Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer") and The Collective Technologies LLC, a Missouri limited liability company ("The Collective," "we," "us") governing your access to and use of our website and AI agent services (the "Services"). By accessing or using the Services, creating an account, or clicking to accept, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of a business or other entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.

3The Services

The Collective provides AI-powered agents and related products, which currently include Maya (inbound voice), Alex (website & sales agent), Tay (AI chief of staff), custom-built agents, and the Level 1 Prebuild. We host and operate the agents on your behalf except where a product expressly provides you the source code. We may add, modify, or discontinue features at any time.

4Alpha / Beta services

Some Services are offered in Alpha or Beta. They are provided for early access, may be incomplete, may change or be discontinued, and may contain errors or interruptions. Alpha/Beta Services are provided "as is" without any warranty, and you use them at your own risk.

5Accounts

You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

8Calling & recording compliance

If you use an agent to place, receive, record, or transcribe calls or messages, you are solely responsible for complying with all applicable laws, including the U.S. Telephone Consumer Protection Act (TCPA), state two-party/all-party consent recording laws, and equivalent laws in your jurisdiction. This includes obtaining any necessary consent from and providing any required disclosures to the people your agent contacts. You represent that you have the legal right and all required consents for the contacts and recordings your use of the Services involves, and you will indemnify us for claims arising from your non-compliance.

9Your data & responsibilities

You own your data. As between you and us, you retain all rights to the data you submit and the data your agents collect ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, and transmit Customer Data solely to provide and improve the Services and as described in our Privacy Policy.

You are responsible for: the accuracy and legality of Customer Data; having the rights and consents needed for us to process it; and your end-users' interactions with your agents. Where you act as a data controller and we act as a processor, our processing is governed by our Privacy Policy and any applicable Data Processing Addendum.

10AI output disclaimer

The Services use artificial intelligence, which can produce inaccurate, incomplete, or unexpected results ("hallucinations"). AI outputs are not professional advice (legal, financial, medical, or otherwise) and should not be relied upon as such. You are responsible for reviewing and verifying AI outputs before relying on or acting on them, and for any decisions made using them. We do not warrant that AI outputs will be accurate, suitable, or error-free.

11Intellectual property

The Services, including our software, agents, models, prompts, designs, and trademarks, are owned by The Collective or our licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, or create derivative works of the Services except as permitted. If you provide feedback, you grant us a perpetual, royalty-free license to use it.

12Custom builds & source code

Custom builds and Prebuilds are delivered as described in your order. Where a product expressly grants you ownership of the source code (for example, the Level 1 Prebuild), that ownership applies to the delivered build only and excludes our pre-existing or general-purpose tools, libraries, and platform components, which remain ours. Any optional membership covers support, updates, and usage as described at purchase.

13Third-party services

The Services rely on third-party providers (such as telephony, AI, hosting, analytics, and payment providers). Your use may be subject to those providers' terms, and we are not responsible for third-party services or their availability. Links to third-party sites are provided for convenience and are not endorsements.

14Partner program

If you participate in our partner or referral program, additional program terms apply (including commission, payout, and conduct terms). Commissions are earned only on qualifying, paid, non-refunded subscriptions and are subject to the program terms in effect. We may modify or end the program with notice.

You will defend, indemnify, and hold harmless The Collective from and against claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your Customer Data; your use of the Services; your violation of these Terms or applicable law (including calling/recording and privacy laws); or your infringement of any third-party right.

18Term & termination

These Terms apply while you use the Services. You may stop using the Services and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services in a way that creates risk or legal exposure. On termination, your right to use the Services ends; we may delete Customer Data after a reasonable period, subject to legal requirements. Sections that by their nature should survive (including IP, disclaimers, limitation of liability, and indemnification) survive termination.

19Governing law & disputes

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-laws rules. The courts located in St. Louis, Missouri will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief to protect its intellectual property or confidential information in any court of competent jurisdiction. 20Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
